Terms of Service
1. Introduction
These Terms of Service ("Terms") govern your access to and use of the mobile applications, websites, and services (collectively, the "Services") offered by Myzo, LLC, a Tennessee limited liability company ("Myzo," "we," "us," or "our"). The Services include the Myzo Parents mobile application (used by adult account holders), the Myzo Kids mobile application (used by children under the direction of their parent or legal guardian), and the website located at getmyzo.com.
By creating an account, downloading either mobile application, or otherwise using the Services, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree to these Terms, you may not use the Services.
IMPORTANT: THESE TERMS INCLUDE A BINDING ARBITRATION PROVISION AND CLASS-ACTION WAIVER IN SECTION 15, WHICH AFFECTS YOUR LEGAL RIGHTS. PLEASE READ SECTION 15 CAREFULLY.
2. Definitions
- "Account" means the Myzo account created by you.
- "Adult User" means any individual age eighteen (18) or older who creates and manages an Account.
- "Child User" means any individual under the age of eighteen (18) whose profile has been added to a Family Account by an Adult User.
- "Family Account" means an Account that contains the profile of the Adult User who created it, one or more secondary guardian profiles (if any), and one or more Child User profiles.
- "Subscription" means the paid access plan the primary guardian has activated for the Family Account.
- "Content" means all text, images, sounds, video, tasks, notes, flashcards, achievements, and other material displayed on or transmitted through the Services.
- "User Content" means Content that you or (with respect to Content associated with a Child User) your child submits to the Services.
3. Eligibility and Account Creation
Adult Users. You must be at least eighteen (18) years old to create an Account. By creating an Account, you represent and warrant that you are the parent or legal guardian of any Child User you add to your Family Account, and that you have the legal authority to consent to the collection and processing of that child's information on behalf of the child.
Child Users. A Child User is not a party to these Terms. The Adult User who creates the Family Account is solely responsible for accepting these Terms and for supervising the Child User's use of the Services. Child Users do not create their own login credentials; they are added to a Family Account by an Adult User and authenticate to the Myzo Kids app using a personal-identification number ("PIN") chosen at pairing.
Parental Consent under COPPA. For Child Users under the age of thirteen (13), we obtain verifiable parental consent as required by the Children's Online Privacy Protection Act ("COPPA") before the child begins using the Services. Our current verifiable-parental-consent mechanism is described in our Privacy Policy and in the Myzo Direct Notice to Parents delivered at signup.
Account security. You are responsible for maintaining the confidentiality of your Account credentials, including any PIN set for a Child User in your Family Account. You are responsible for all activity that occurs under your Account or under any Child User profile in your Family Account. Notify us immediately at legal@getmyzo.com if you believe your Account has been accessed without your authorization.
4. Subscriptions, Trials, and Billing
Subscription plans. Access to the full functionality of the Services requires a paid Subscription. Details of the current Subscription plans and prices are published in the Myzo Parents app and on the Services and are incorporated here by reference.
Free trial. We may offer a limited free trial period. If a payment method is required to activate the trial, and unless you cancel prior to the end of the trial period, your paid Subscription will begin automatically at the end of the trial period at the price disclosed to you at signup.
Billing and payment processors. Depending on where you sign up, your Subscription is billed by one of our payment processors:
- Apple, Inc. for Subscriptions initiated through the iOS App Store;
- Google LLC for Subscriptions initiated through the Google Play Store; or
- Paddle.com Market Limited, acting as Merchant of Record, for Subscriptions initiated through our website.
Each payment processor is responsible for the payment method, tax remittance, receipts, refunds, and chargebacks associated with your Subscription. Myzo does not receive or store your payment card number, CVV code, bank account information, or billing address; we receive only opaque customer and transaction identifiers issued by the payment processor.
Automatic renewal. Unless you cancel your Subscription before the end of the current billing period, your Subscription will renew automatically at the then-current renewal price. Renewal charges will appear on the payment method on file with the applicable payment processor.
Cancellation. You may cancel your Subscription at any time.
- If your Subscription was purchased through the iOS App Store, you may cancel through your Apple ID Subscription settings.
- If your Subscription was purchased through the Google Play Store, you may cancel through your Google Play Subscription settings.
- If your Subscription was purchased through our website (Paddle), you may cancel from the "Manage Subscription" area of the Myzo Parents app, or by emailing legal@getmyzo.com.
Cancellation is effective at the end of the current billing period. You will continue to have access to the paid Services through the end of the period you have already paid for. Except as required by applicable law, Myzo does not provide pro-rata or partial refunds for unused portions of a Subscription period.
Refunds. All refund requests must be directed to the payment processor that billed your Subscription:
- Apple: reportaproblem.apple.com;
- Google: play.google.com/store/account/subscriptions;
- Paddle: contact us at legal@getmyzo.com and we will coordinate with Paddle.
Price changes. We may change the price of a Subscription. If we do, we will notify you in advance and the new price will take effect on your next billing cycle. If you do not agree to the price change, you may cancel your Subscription before the new price takes effect.
Taxes. You are responsible for all applicable federal, state, and local taxes associated with your Subscription; where required, the payment processor will collect such taxes on our behalf and remit them to the applicable authority.
5. User Content and License Grants
Ownership. As between you and Myzo, you retain all ownership rights in User Content you or your child submits to the Services, including tasks, sub-tasks, notes, flashcards, and any free-text fields (such as delay reasons, cancel reasons, or completion reasons).
License to Myzo. By submitting User Content, you (and, if applicable, on behalf of your Child User) grant Myzo a non-exclusive, worldwide, royalty-free, sublicensable license to use, host, store, reproduce, modify, adapt, translate, and display that User Content solely for the purpose of operating and providing the Services to your Family Account. This license does not permit Myzo to sell, transfer, publicly display, or use your User Content for advertising, and it terminates when you delete the User Content or your Family Account.
Feedback. If you send us suggestions, feedback, or ideas about the Services ("Feedback"), you grant Myzo a perpetual, irrevocable, worldwide, royalty-free license to use that Feedback without any obligation to you.
No public display. The Services do not provide any feature that publicly displays, shares, or transmits User Content associated with a Child User to any user outside the Family Account. Nothing you submit through the Myzo Kids app is visible to any other family or Child User.
6. Acceptable Use
You agree not to (and not to allow your Child User to):
- Use the Services for any purpose that is unlawful, fraudulent, or harmful;
- Access, tamper with, or use non-public areas of the Services or our infrastructure;
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Services;
- Circumvent, disable, or otherwise interfere with any security, authentication, or feature-gating measure of the Services;
- Use any automated means (including scrapers, bots, or scripts) to access or extract data from the Services;
- Rent, lease, sell, resell, sublicense, or otherwise commercially exploit the Services or the User Content of any other user;
- Impersonate any person or misrepresent your identity or affiliation, or falsely claim to be the parent or legal guardian of a Child User;
- Submit User Content that is defamatory, harassing, obscene, threatening, hateful, or that infringes any third party's intellectual-property, privacy, or publicity rights; or
- Use the Services in a manner that violates any applicable law, regulation, or the terms of any third-party service accessible through the Services (including the App Store, Google Play, or Paddle).
We reserve the right to investigate suspected violations of these Terms and to suspend or terminate Accounts that we determine, in our sole discretion, are in violation.
7. Intellectual Property
Our rights. Myzo, our licensors, and our service providers own all right, title, and interest in and to the Services, including all software, designs, trademarks (including "Myzo," "Myzo Kids," and "Myzo Parents"), logos, and Content other than User Content. Nothing in these Terms grants you any right in or license to any of these intellectual-property rights, except the limited right to use the Services as expressly described in Section 8.
License to use the Services. Subject to your compliance with these Terms, Myzo grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to install and use the Myzo Kids and Myzo Parents mobile applications and to access the Services, in each case solely for your personal, non-commercial use within your Family Account.
Feedback and improvements. See Section 5.
8. Third-Party Services and App-Store Terms
Payment processors. Your use of the Services in connection with a Subscription is also subject to the terms of the applicable payment processor (Apple, Google, or Paddle).
Apple. If you install a Myzo mobile application on an Apple device, you acknowledge that these Terms are between you and Myzo (not Apple), and that Apple has no obligation to furnish any maintenance or support services for the Services. In the event of any failure of the mobile application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) paid for the mobile application. To the maximum extent permitted by applicable law, Apple has no other warranty obligation with respect to the mobile application. Apple, and Apple's subsidiaries, are third-party beneficiaries of these Terms with respect to the Apple-provided application, and upon your acceptance, Apple will have the right (and be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
Google. If you install a Myzo mobile application on an Android device, you acknowledge that these Terms are between you and Myzo (not Google), and that Google has no obligation to furnish any maintenance or support services for the Services. Your use of the Services is also subject to the Google Play Terms of Service.
Third-party links. The Services may contain links to third-party websites or services (for example, external resources for parents of children with ADHD). We do not control and are not responsible for those third-party websites or services, and your use of them is subject to their own terms and privacy policies.
9. Privacy and COPPA
Our collection, use, and disclosure of personal information in connection with the Services is governed by our Privacy Policy. If you are the parent or legal guardian of a Child User, you have specific rights under COPPA that are described in the Privacy Policy and in the Myzo Direct Notice to Parents delivered at signup. By creating a Family Account, you acknowledge that you have read and understood the Privacy Policy and, where applicable, the Direct Notice.
10. Termination
Termination by you. You may terminate your Family Account at any time by using the "Delete Account" flow in the Myzo Parents app or by emailing legal@getmyzo.com. Termination has the deletion consequences described in Section 9 of the Privacy Policy.
Termination by Myzo. We may suspend or terminate your Account and access to the Services (a) if you materially violate these Terms, (b) if we are required to do so by applicable law, (c) if we discontinue the Services or a material feature of them, or (d) in accordance with any billing failure or non-payment procedures. We will provide reasonable notice of termination except where prohibited by law or where immediate termination is necessary to protect the safety of users or the integrity of the Services.
Effect of termination. Upon termination of these Terms, all licenses granted to you will end, and you must cease using the Services. Sections that by their nature survive termination (including Sections 5 (as to feedback), 7, 11, 12, 13, 14, 15, and 16) will survive.
11. Disclaimers
"AS IS" and "AS AVAILABLE." THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MYZO EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
No educational, medical, or clinical advice. THE SERVICES ARE A STUDY AND FOCUS APP AND ARE NOT INTENDED TO DIAGNOSE, TREAT, CURE, OR PREVENT ANY MEDICAL OR PSYCHOLOGICAL CONDITION, INCLUDING ATTENTION-DEFICIT / HYPERACTIVITY DISORDER. THE SERVICES ARE NOT A SUBSTITUTE FOR PROFESSIONAL EDUCATIONAL, MEDICAL, OR CLINICAL ADVICE. YOU AGREE TO CONSULT AN APPROPRIATE PROFESSIONAL FOR ANY DIAGNOSTIC OR TREATMENT DECISION.
No guarantee of results. MYZO DOES NOT WARRANT THAT USE OF THE SERVICES WILL IMPROVE ANY CHILD'S ACADEMIC PERFORMANCE, GRADES, OR CONCENTRATION, AND YOU AGREE THAT ANY OUTCOME OF USE IS INHERENTLY VARIABLE.
Availability. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
(a) IN NO EVENT WILL MYZO, ITS AFFILIATES, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES.
(b) MYZO'S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES WILL NOT EXCEED THE GREATER OF (i) THE AMOUNT YOU PAID TO MYZO FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (ii) ONE HUNDRED U.S. DOLLARS ($100.00).
(c) THE LIMITATIONS IN THIS SECTION 12 APPLY EVEN IF MYZO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF ANY LIMITED REMEDY IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO SOME OF THE LIMITATIONS ABOVE MAY NOT APPLY TO YOU.
13. Indemnification
You will defend, indemnify, and hold harmless Myzo, its affiliates, and their respective officers, directors, employees, and agents from and against any third-party claim arising out of or related to: (a) your use of the Services in violation of these Terms; (b) any User Content you (or a Child User in your Family Account) submits; (c) your violation of any applicable law; or (d) your infringement of any third party's intellectual-property, privacy, or publicity rights. Myzo may participate in the defense at its own expense, and you will not settle any such claim without our prior written consent, which we will not unreasonably withhold.
14. Changes to the Services or These Terms
Changes to the Services. We may modify, suspend, or discontinue the Services or any part of them at any time. We will use reasonable efforts to provide advance notice of material changes that adversely affect paying subscribers.
Changes to these Terms. We may revise these Terms from time to time. When we make a material change, we will notify you by email (to the address associated with your Family Account) or through a prominent notice in the Myzo Parents app before the change takes effect. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services and may cancel your Subscription.
15. Governing Law and Dispute Resolution
Governing law. These Terms are governed by the laws of the State of Tennessee, without regard to its conflict-of-laws principles.
Informal resolution first. Before initiating any formal proceeding, you agree to attempt to resolve any dispute with Myzo informally by contacting us at legal@getmyzo.com. We will attempt to resolve the dispute informally within sixty (60) days of receiving your notice.
Binding arbitration. If we are unable to resolve a dispute informally, any dispute arising out of or related to these Terms or your use of the Services will be resolved by binding arbitration administered by JAMS in accordance with the JAMS Streamlined Arbitration Rules and Procedures then in effect. The seat of the arbitration will be Knoxville, Tennessee. The arbitrator's decision will be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
CLASS-ACTION WAIVER. YOU AND MYZO EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. IF THE FOREGOING WAIVER OF CLASS-BASED PROCEDURES IS FOUND UNENFORCEABLE, THEN THE ENTIRETY OF THIS ARBITRATION PROVISION WILL BE NULL AND VOID, BUT THE REST OF THESE TERMS WILL REMAIN IN EFFECT.
Exceptions. Nothing in this Section 15 will prevent either party from (a) seeking injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual-property rights, or (b) bringing an individual claim in a small-claims court of competent jurisdiction, if the claim qualifies.
Opt-out. You may opt out of the arbitration and class-action-waiver provisions of this Section 15 by delivering written notice to Myzo at the address in Section 17 within thirty (30) days of first accepting these Terms. Your notice must include your name, address, and the email address associated with your Account.

16. General
Entire agreement. These Terms, the Privacy Policy, the Myzo Direct Notice to Parents, and any other agreement expressly incorporated here constitute the entire agreement between you and Myzo regarding the Services, and supersede any prior agreements regarding the same subject matter.
Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
No waiver. Our failure to enforce any provision of these Terms will not constitute a waiver of that provision or of our right to enforce it in the future.
Assignment. You may not assign or transfer these Terms or any right or obligation under them without our prior written consent. We may assign these Terms and our rights and obligations under them without restriction, including in connection with a merger, acquisition, or sale of substantially all of our assets.
Notices to you. We may deliver notices to you by email (to the address associated with your Family Account), by push notification to a device on which you have installed a Myzo mobile application, or by a prominent notice in the Myzo Parents app.
Notices to us. Legal notices to Myzo must be delivered in writing to the address in Section 17.
Force majeure. We will not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, war, terrorism, riots, civil unrest, government action, epidemics, pandemics, labor disputes, or infrastructure or service-provider failures.
Export controls and sanctions. You represent that you are not (a) located in, under the control of, or a resident of any country or territory subject to U.S. government embargo or designation as a "terrorist-supporting" country, or (b) on any U.S. government list of prohibited or restricted parties.
No third-party beneficiaries. Except as expressly provided in Section 8 (Apple), no provision of these Terms is intended to confer any rights, remedies, or benefits on any third party.
